Course Description:

'' Professionals tend to concentrate on the technical aspects of their projects and as such, tend to spend less time and effort on the commercial and legal aspects of their projects. Most engineers though, often at an early stage in their career, will be in a position where they are required to either manage or administer a contract as a key part of a project for which they are responsible. Contracts form the basis of most projects, where there is a supply of a product or service for a fee. It is the contract that stipulates the type of relationship between the parties involved, identifies and allocates the project risks between the parties, identifies the obligations and expectations of all involved, and dictates the manner in which the parties are to work together on the project. A well developed and managed contract is therefore a crucial component to ensuring the successful delivery of a project, where there is a supply of a product or service for a fee.

This course introduces you to the principles of establishing contractual relationships and managing these relationships, specifically in a project environment, to ensure successful delivery of your project. You will gain a particular awareness of contract legal and management issues governing contractual relationships in a wide scope of application areas.

Who should attend?
The manager, engineer, supervisor, or frankly anyone who is entering, or who has recently entered, the field of contract management, and who needs some formal introduction to the concepts in this field. This course will also serve as a refresher for experienced practitioners in the field of contract and project management. The course is not focused to any particular sector or industry, and as such, is applicable for any industry, the private and public sectors, for-profit companies and not-for-profit organisations, and any individual or organisation wishing to develop a more strategic, focused and managed approach to delivering contracts.

- the fundamental processes involved in contracting and tendering
- the roles of key parties in contract relationships
- what is expected of someone who has to administer the execution of a contract
- changes, variations and the impact of delays
- awareness of possible pitfalls and problem areas in contract management
- some of the more common types of contracts.

Contracting Process:
- The project life cycle - where contracts fit in the overall life cycle of performing work
- The contracting phase - preparing a contract and setting up the contractual relationship
- The tender process - a high-level overview of the process involved in calling for offers (tenders), their evaluation and allocation
- The contractual baseline/contract content - the key aspects that need to be contained in a contract

Introduction to Contract Law:
- Composition of an agreement - describing the difference between agreements and contracts
- Definitions - of key contract principles
- Contract criteria - the essentials of a contract in most jurisdictions
- Case studies to test knowledge of critical principles
- Elements of a contract - what to look for in a properly prepared contract

Tendering Process:
- Viewing the tender process in terms of offer and acceptance
- Developing a suitable ’Request for Proposal/Tender’ - understand the consequences of a poorly developed document
- The tenderers’ contract in New Zealand law

Managing Contracts:
- Planning for contract management - what is needed to set up a contract and a management process that will ensure effective management of contractual outcomes
- Managing the triple constraints of scope, budget and schedule (programme)

Variations:
- How to deal with changes to the contractual baseline
- Claims - justified and unjustified claims for extra payments against an originally agreed contractual scope
- Contract review - when and how to review and renegotiate aspects of a contract

- Success factors that lead to robust contracting and successful contract and project completion
