'' In today’s markets most debt funding - whether by way of loans or debt securities - involves the use of swaps to hedge interest or currency exposure or both. This course seeks to explain swaps by looking at background to their development as the largest category of derivatives. The majority of swaps are entered into under an ISDA master agreement. The course therefore examines the structure of the ISDA documentation and its key concepts and provisions. Addressing credit exposure is a key concern, which involves the use of both netting and credit support. The latter includes a review of the ISDA documentation for the various different methods of providing credit support. The course will cover:
Background and nature of Swaps : futures, options, credit derivatives, risks: credit/counterparty, market and legal
ISDA Master Agreement - Structure, including confirmations and definitions - Core concepts: conditionality, mutuality, single agreement - Obligations and representations - Default and termination events - Termination payments - The schedule
Netting - Basis of netting - Netting and capital adequacy - Bilateral netting - Contractual close out netting - Insolvency set-off
Credit Support - Collateralisation of derivative transactions - ISDA English credit support deed (sale and charge bases) - ISDA Margin Provisions (contractual set-off)
