'' The objective of this course is to provide students with an overview of the investment banking (IB) business and focus on key factors affecting the strategic direction of the primary industry participants. We expect students to improve their business communication skills through expanded industry knowledge and active class participation. TOPICS COVERED
History of IB business and strategies of the major participants Effects of securities laws, regulations and credit rating agencies on this business The shelf registration process for debt/equity securities issued to the general public Flexibility afforded private placements, MTNs, and structured notes issued to sophisticated institutional investors
Syndication and underwriting process for IPO’s and other public issues The four primary valuation methods used in mergers/acquisitions by investment bankers
Bridge loan financing and other techniques used in LBO’s (including high-yield debt) Venture capital, private equity and other activities that proceed or replace IPOs Financial Modernization Act of 1999 and its effect on banking and insurance participants
Class Format and Teaching Methods
This course will combine lectures by faculty and industry practitioners with class participation in case students specific to IB. Students will be expected to be effective advocates of the cases they present and knowledgeable skeptics of the cases presented by others. ...''
