Review due diligence and legal issues; common structural issues such as cash vs. stock upfront payments vs. earn-outs and stock vs. asset deals; and consequence analysis including detailed accretion/dilution and contribution. After examining case studies and techniques including back-of-the-envelope method and more robust analyses, you will be able to calculate estimated combined income statements for target and acquirer, key pro forma balance sheet items, cash flow for debt repayments, and other relevant items.
